Gasgoo Munich- PATEO (2889.HK) announced on June 2 it has signed a memorandum of intent with Ping An Capital or funds under its management to acquire a controlling stake in an integrated circuit design firm specializing in high-performance communication chips.
The filing reveals that the target company is a China-incorporated joint-stock enterprise operating on a fabless model. It focuses on the research, design, and sales of high-speed optoelectronic chips, high-performance analog chips, and modules. Its optoelectronic products serve as core components for optical modules in current AI data centers—a sector where domestic supply remains scarce.

Based on currently available information and pending further due diligence, the target company’s core business revenue for the fiscal year ending December 31, 2025, is approximately 310 million yuan.
PATEO stated that the proposed transaction aims to drive a strategic expansion upstream into the chip sector. If completed, the company will integrate the target’s capabilities in optoelectronic chips, optical modules, and top-tier client resources. This move will further reinforce its "software-hardware-chip-cloud" integrated strategy, creating a diversified industrial layout combining "smart automotive solutions" with "high-performance communication chips."
Strategically, PATEO has expanded its footprint in recent years to cover smart cockpits, intelligent connectivity, operating systems, domain controllers, and AI applications. As advanced cockpits and high-level autonomous driving demand higher bandwidth and lower latency, optical chips and related technologies are viewed as the critical foundation for next-generation in-vehicle communication and data processing. This acquisition positions PATEO to secure an early foothold in this technological direction.
At the same time, the target company’s customer base in high-performance computing fields like AI servers will create synergies with PATEO’s existing automotive business. This will broaden the company’s reach across the "vehicle-cloud" data loop and computing infrastructure segments.
Advancing this acquisition signals a shift in PATEO’s valuation logic, extending beyond a single focus on automotive intelligence to encompass AI computing infrastructure, optoelectronic chips, and in-vehicle optical communication. The transaction remains subject to further due diligence and the satisfaction of conditions.
