Introduction of SAIC & Its Subsidiaries

Shanghai Automotive Industry Corporation (Group)(hereafter referred to as “SAIC”)is one of the representatives of the automotive industry in China. It entered the Fortune Global 500 list on July 12, 2004 for a consolidated revenue of 11.7 billion USD from the previous year.

Introduction of SAIC & Its Subsidiaries

In the recent years, SAIC has spend up its growth and struck new highs in sales. It sold 847,000 units in 2004, among which 617,000 were passenger cars. It took in a revenue of 165.3 billion RMB and an export of 700 million USD, thus fulfilling the objectives of the Tenth Five-year Plan.

At the end of 2004, SAIC restructured itself and established the SAIC Motor Corporation Ltd. After the transformation, SAIC would define its role as a comprehensive investment corporation in advanced manufacturing industry and modern service.

Shanghai General Motors (SAM) was established on June 12, 1997, as a 50-50 joint venture partnership between General Motors and SAIC

Subsidiaries of SAIC.

1. Shanghai Automotive Group (Beijing) Company Ltd.
 
Shanghai Automotive Group (Beijing) Company Ltd (SABJ).was established on June 8th, 2004 in Beijing with an initial registered capital of 200 million RMB Yuan.

The main business scope of SABJ covers: development of automotive and automotive-related industrial technology and the manufacturing capacity of automotive parts and components industry through investment, marketing and distribution of homemade and imported motor vehicles, motor cycles and their spare parts and raw materials for motor vehicle and motor cycle production, leasing service of motor vehicles, electronic instruments, meters and mechanical equipments, import and export of various commodities and technology on own account or under agency agreement, technical consultation, service and the relevant agency operations in connection with the above business.

SABJ was founded by SAIC in accordance with the relevant instruction from the State Council and on the basis of its participation in the reorganization of China National Automotive Industry Corporation (CNAIC). SABJ is functionally positioned as a business development base of SAIC in Beijing and the northern part of the China and the main implementing body to deal with the follow-up matters relating the reorganization of CNAIC.

Ever since coming into being, SABJ has been actively integrating its operations into the overall planning of SAIC and through bringing into full play the geographical advantage of Beijing, making effort to expand and develop its business modules in the fields of automobile marketing service, automotive industrial real estate management, automotive cultural and information industries, SABJ has gradually established its own strategic orientation of modern automotive service industry.

2. Shanghai International Autocity Development Co., Ltd.
 
Shanghai International Autocity Development Co., Ltd.(SIAD) was set up on 24 July, 2004, jointly invested by Shanghai Automotive Industry Corporation(Group), Jiading Anting Investment Corporation, Shanghai Bailian Group, Shanghai Newanting United Development Corporation and China Association of Automobile Manufacturers. Company’s current registered capital is 0.22 billion yuan.

As a government designated developer, SIAD is responsible for the planning, development and investment solicitation of the Central Business District in the Autocity. Central Business District covers a land of 7.43 square kilometers, congregating the function of auto dealing, exhibition, R&D, culture promotion and service.

For the past 3 years, SIAD has completed development of a land around 1062 mu, including land leveling and infrastructure set-in. In 2004, the trading area where 17 auto showrooms collected was established. The year also witnessed the ground-breaking for Shanghai auto museum and Exhibition Center.

Presently, in addition to projects under construction, the company is engaged in further planning and development of R&D area and service area.

3. Shanghai Automobile Industry Development Company Co., Ltd.
 
Shanghai Automobile Industry Development Company (SAIDC) is a wholly owned subsidiary of SAIC, founded in April 1993. The register capital is RMB 188,155,000.
 
The main business contains the real estate investment, the logistics service, and the integration of non-manufacture resource providing. Now it has more than 20 companies which manage the business such as catering service, cleaning service, landscaping service, automobile selling and maintain, real estate exchange, building decoration、air-condition equipment service、construction project and equipment supervision, environment engineering service, auto-model selling, human recourse management, asset management、hotel, etc.

4. Shanghai Automotive Asset Management Co.,Ltd
 
Shanghai Automotive Asset Management Co.,Ltd (SAAM) was established by the SAIC in 2002, with its registered capital of 300 million RMB.

Shanghai Automotive Asset Management Co. was established for implementing SAIC strategy of operating diversification and renovating SAIC’s huge amount of high quality and unused assets through market levers. The company is mainly involved in the diversified assets operation and management business such as assets re-organization, capitalization, renovation, optimization, acquisition, merging, entrusting, leasing, as well as relevant investment, etc., so as to provide with SAIC the further industrial operating services, expand and enhance its industrial chain.

5. APSIS (Shanghai International Auto Parts Sourcing Center)
 
Jointly set up by SAIC and CAAM (China Association of Automobile Manufactures), APSIS is a platform with value-added services for international auto parts buyers and China auto parts suppliers, in order to help them realize its China sourcing target
